LEGAL AGREEMENT

TERMS OF SERVICE

Last updated: May 13, 2026 • Talent256 Discovery is a product owned and operated by Talent256 Group LTD, registered in Uganda • These terms govern your use of talent256.ug and all related services.

1. INTRODUCTION & ACCEPTANCE

Welcome to Talent256. By accessing or using our website, mobile site, or services at talent256.ug (the "Platform"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.

Talent256 Discovery ("Talent256", "we", "us", "our") is a talent discovery platform owned and operated by Talent256 Group LTD, a company registered in Uganda. We provide a technology platform that allows football players to create profiles and allows clubs, scouts and fans to discover them.

2. OUR ROLE — TECHNOLOGY PLATFORM, NOT AGENT, NOT EMPLOYER, NOT CLUB

IMPORTANT LIMITATION OF ROLE

Talent256 is a technology platform and information service. We are NOT a football agent, intermediary, employer, club, academy, association, or representative of any player or club. We do not negotiate contracts, we do not guarantee trials, selection, employment, payment, or transfer. We do not take commission on player contracts unless explicitly agreed in a separate written agreement.

Any interaction, communication, negotiation, trial, contract, payment, or arrangement between a player and a club is solely between those parties. Talent256 is not a party to those arrangements and has no liability for their outcome.

3. ELIGIBILITY & ACCOUNT RULES

  • You must be at least 13 years old to create a profile. If you are under 18, you must have consent from a parent or legal guardian, and provide a parent/guardian contact.
  • One person, one profile, one account. Duplicate profiles using the same phone, email, or identity are prohibited and may be removed.
  • You are responsible for maintaining the confidentiality of your login credentials and your 4-digit security PIN.
  • You agree that all information you provide is true, accurate, and current. False age, false identity, false district, or impersonation is grounds for immediate suspension.

4. PLAYER PROFILE CONTENT & VERIFICATION

  • By submitting photos, videos, bio, and other information, you grant Talent256 Group LTD a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute your public profile content (photos, videos, name, position, district) on our Platform, TikTok @talent256.ug, YouTube, Instagram, and for promotional purposes to help you get discovered.
  • ID documents you upload are for verification only. They are stored privately and are never shown publicly.
  • We reserve the right to review, verify, approve, reject, watermark, or remove any profile at our sole discretion.
  • You retain ownership of your content, but you are responsible for ensuring you have rights to all photos and videos you upload.

5. CLUB & SCOUT USE

Clubs and scouts agree to use player contact information solely for legitimate football opportunities — trials, recruitment, and football-related communication. Harassment, spam, fraud, extortion, or requesting payment from players to offer trials is strictly prohibited and will result in permanent ban and reporting to relevant football authorities and law enforcement where applicable.

6. PROHIBITED CONDUCT

  • Creating fake profiles, age cheating, or using another person's identity or photos.
  • Uploading obscene, pornographic, abusive, hateful, or illegal content.
  • Attempting to hack, scrape, copy, or disrupt the Platform.
  • Collecting phone numbers or emails for non-football purposes.
  • Charging players money to "guarantee" trials or using Talent256 name to defraud.

7. DISCLAIMERS — NO GUARANTEE OF OUTCOME

We provide the Platform on an "as is" and "as available" basis. We make no warranty that:

  • Your profile will be viewed by any specific number of clubs or result in a trial, contract, or payment.
  • Any club listed is licensed, solvent, or will act in good faith. You must do your own due diligence before attending any trial or signing any document.
  • The Platform will be error-free, uninterrupted, or secure at all times.

You attend trials and interact with clubs at your own risk. Talent256 Group LTD recommends that players under 18 are accompanied by a parent/guardian for any physical trial, and that all contracts are reviewed by an independent advisor.

8. LIMITATION OF LIABILITY

To the maximum extent permitted by the laws of Uganda, Talent256 Group LTD, its directors, employees, and affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits, opportunity, reputation, or data arising from your use of the Platform or any interaction with another user, club, or third party.

Our total aggregate liability for any claim arising from these Terms or use of the Platform shall not exceed the amount you paid to us (if any) in the 6 months preceding the claim, or UGX 100,000, whichever is less. If you paid nothing, our liability is limited to providing you with reasonable assistance to resolve the issue.

Nothing in these Terms excludes liability for death or personal injury caused by our proven negligence, or fraud, where such exclusion is not permitted by Ugandan law.

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Talent256 Group LTD and its directors, employees, and agents from any claims, damages, costs, and expenses (including legal fees) arising from: (a) your violation of these Terms; (b) your content or information you submit; (c) your interactions with other users or clubs; (d) any contract, trial, injury, loss, or dispute that occurs between you and a club or other third party.

10. CONTENT MODERATION & REPORTING

We may hide, suspend, or delete any profile or club account that receives credible reports of fraud, fake identity, age falsification, harassment, or illegal activity. We may cooperate with law enforcement, FUFA, and other relevant authorities where required. Decisions on moderation are at our sole discretion to protect the community, especially minors.

11. INTELLECTUAL PROPERTY

The Platform design, logo, "Talent256", software, and all related marks are owned by Talent256 Group LTD. You may not copy, reproduce, or use our brand or content without written permission, except to share a player profile link for legitimate scouting purposes.

12. PRIVACY

Your use of the Platform is also governed by our Privacy Policy. ID documents are stored privately and only used for verification. Public profile information is visible to anyone. By using the Platform you consent to this visibility to help you be discovered.

13. CHANGES TO TERMS

We may update these Terms from time to time. We will post the new effective date. Continued use after changes means you accept the new Terms. For significant changes, we will make reasonable efforts to notify you via the Platform or email.

14. GOVERNING LAW & DISPUTES

These Terms are governed by the laws of the Republic of Uganda. Any dispute arising from these Terms or your use of the Platform shall first be attempted to be resolved amicably through mediation. If mediation fails, the dispute shall be submitted to the competent courts, Uganda.
